When and Where to form your Business Entity
If you’re in business or getting ready to start a business the time to structure your business entity is NOW! Actually, yesterday would have been even better! If you get sued, the amount of money you would have spent by incorporating your business would seem like small change. You must protect your family and everything you’ve worked hard for by incorporating your business as fast as possible.
Where should you form your business entity?
When I refer to a business entity I am referring to Corporations and LLC’s. Both entities fall under the same rules and regulations. Where you form your business entity is just as important as when to form it. You can incorporate it anywhere, no matter where your operating business is located, but you must be aware of the fees, rules and regulations and tax consequences of any state you plan to form a business entity in. You need to ask yourself a few questions like; where do you plan to do the majority of your business? Are you looking for asset protection? What are your long range goals? Is this going to be an operating company or is it going to be a holding company?

If you plan on incorporating in a preferred state like Nevada you might discover a variety of strategies you can accomplish by having one company in a preferred state (Nevada) and another in your home state. You might just decide that the additional expense more than justifies the end result. The main benefits would be the asset protection you would receive and quite possibly a huge amount of tax savings.
You would probably be surprised to find out that most of the companies doing business in your home state are not incorporated in your home state! The reason is because many business owners realize the benefits of incorporating in a state with the most advantageous business and tax laws. Nevada State Corporate Network has taken the lead. Nevada is by far one of the most pro-business friendly states in the U.S. The legislation protects the officers and directors from frivolous lawsuits. Nevada has no corporate income taxes, no franchise taxes and no state income taxes. Nevada is also one of the few states that doesn’t share information with the I.R.S. Nevada also offers privacy for its officers and directors. In Nevada only the officers have to be listed on public record. One of the benefits of incorporating in a preferred state like Nevada is that it is governed by the state of incorporation. Nevada is very pro-business and most find it very advantageous to those who run the Nevada Incorporated businesses.
